Kernel panic - not syncing: Fatal exception

Developers are needing to run in CentOS 5.5. Hardware is HP DL385 G7. When I install any 5.5 disk I get the Kernel panic - not syncing: Fatal exception. Thanks for any help you can give me. There are 2 AMD 6212 2.6GHz 12MB L3 CPU's, 16 gigs of ram. The perplexing thing is that it runs in 5.3. What can I look for or how do I debug this so I can get it to work.

I'd try 5.8 since it's the most recent CentOS 5 series (and has a lot of remote root exploits fixed!)
