kernel panics and HDD errors on SATA with grub / raid, bios

I've 2 brandnew SATAII SAMSUNG HD160JJ 7200rpm in a P4S800-MX SE(SiS 661FX) Serie system
When installing CENTOS with Softraid (as RAID on system is not detected) I can install the system properly but get 2 errors
1. during sync I get these errors: (status seen trought cat /proc/mdstat)

Than also during this I even cannot reboot the whole combination as the system halts cause sometimes it halts at
kernel panic: not syncing / drivers/scsi/scisi_lib.c.343 spin_lock

.. I'm totally fuzzed what can be the reason: grub? or BIOS settings or something else .. I tried almost every combination
some say do not use grub, but how to use lilo ?

Any hint or tip would be appreciated ..

Could it be a problem with the MBoard syncing with the SATA11's, you could try jumpering the drives back to SAT1 and see if that helps.
Link relates ONLY to Samsung SATA11 drives.

yup, that's what I already did ..
no go .. same old story

Not it even flashes my keyboard led during formatting with kernel panic .. :-(

Totally lost it .. it's almost impossible 2 new SATA disk could be broken out of the box.
even did a badblocks scan after such sync issue: totally no errors detected ..

from what I could see the installation stops now at:

kernel panic - not syncing: drivers/scsi/scsi_lib.c:343: spin_lock drivers/scsi/libata_core.c f7aae5c0 already locked by drivers/scsi/libata_core.c/3222

wierd.
